Terms of Service

These Terms are between you and Spot On Technologies Pty Ltd (ABN 38 611 338 526) trading as Seen Matters ("Seen Matters", "we", "us"). They govern your use of the Seen Matters ecosystem: the Seen, Gift.Seen and Moment.Seen apps and websites, the Seen.Tag family (including Seen.Car, Seen.Pet and Seen.Luggage), and related services (together, the "Services"). By creating an account, purchasing Credits, or using the Services, you agree to these Terms and to our 隐私与边界 page, which forms part of them.

1. Who can use the Services

You may use the Services if you are legally capable of entering into a binding contract, or if you use them with the consent and supervision of a parent or guardian who agrees to these Terms on your behalf. Purchases must be made by, or with the consent of, a person legally capable of contracting. Some features, such as opening a Gift or answering an invitation, work without an account.

2. Your Seen Matters account

One Seen Matters account works across our products. You sign in with the method you choose (for example Sign in with Apple, Google, or an email link). We do not link sign-in methods automatically: signing in with a different method may create a separate account with its own Credits and content, so please use the same method each time. You are responsible for keeping your sign-in method secure and for activity under your account.

3. Credits

Credits are units of service use inside the Seen Matters ecosystem. They are not money, have no cash value, are not transferable between accounts or people, and cannot be exchanged for cash, goods or services outside our products.

  • Free Credits may be provided periodically, up to an allowance we set and may change or withdraw. Free Credits do not accumulate beyond that allowance.
  • Purchased Credits are added when you complete a purchase through an approved payment provider (Apple In-App Purchase on iOS, or our web checkout processed by Stripe). Purchased Credits do not expire. When you use the Services, Free Credits are used before Purchased Credits.
  • Credits are consumed when you confirm an action that requires them — for example publishing a Gift, invitation or live session. The Credits an action requires are shown before you confirm, and may differ between products and change over time. Changes do not affect Credits already spent.
  • One balance, one account: your balance is tied to your Seen Matters account and is visible across our products when you sign in with that same account.

4. Purchases, prices and tax

Prices are shown before you pay. On iOS, prices, currency and billing are handled by Apple under Apple's terms; the amount Apple charges may differ from our web prices because of Apple's storefront pricing. On the web, prices are in Australian dollars and are the final amount charged; where GST applies it is included. Our payment providers (Apple, Stripe) process payments — we never see or store your full card details. A purchase is complete only when the provider confirms payment to us; until then no Credits are added.

5. Refunds, reversals and your consumer rights

Credits are a digital service delivered immediately when the provider confirms payment. We do not operate a voluntary refund or "Credits to cash" process, and we do not offer refunds for change of mind or for Credits you have already used.

Nothing in these Terms excludes, restricts or modifies any right you have under the Australian Consumer Law or other laws that cannot be excluded — including guarantees that services are provided with due care and skill, are fit for purpose, and are supplied within a reasonable time. If a purchase fails, is charged in error, or the Services are not supplied as promised, contact us and we will put it right, including by refund where the law requires.

Purchases made through Apple are refunded by Apple under Apple's refund policies; purchases made through Stripe are refunded where required by law or by the payment provider's rules. Where a payment provider refunds, reverses or charges back a payment (for example a card dispute), the Credits from that purchase are removed from your balance. If you have already used some of those Credits, your Purchased balance may go negative; later purchases first repay that balance.

6. Your content

You own what you create: your messages, photos, voice recordings, invitations and the details you add. You give us a limited licence to host, store, process, transmit and display that content solely to provide the Services you ask for — for example to deliver a Gift to the person you send it to, or to show an invitation to your guests. You are responsible for your content and for having the right to share it, including any consent needed from people whose details, images or voice you include. When you add guests or recipients, you confirm you may share their details with us for that purpose.

A Gift or invitation is delivered to whoever holds its link (and, where you set one, the Heart Key). Please share links with care. Some items are available for a limited period; where that applies, the product tells you.

7. Deleting your data and your account

You may use the deletion controls available in a particular product to delete the data covered by those controls. Product-specific deletion does not necessarily delete your Seen Matters identity, Credits wallet, or data held in other Seen Matters products. The relevant product will explain what its deletion control removes before you confirm it.

We retain records we are legally required to keep — including records of purchases, Credits balances and their history — for accounting, tax and dispute-resolution purposes, and we keep them separate from your product content.

8. Acceptable use

Do not use the Services to harass, threaten, deceive or harm anyone; to send unlawful, hateful, sexually explicit or infringing content; to impersonate another person; to interfere with the Services or other users; to circumvent Credits, payments or access controls; or to collect other people's data without consent. We may remove content or suspend accounts that breach these rules.

9. Our intellectual property

The Services, including our software, designs, names, logos, presentation themes and music, are owned by or licensed to Seen Matters and protected by intellectual property laws. You may not copy, modify, sell or reverse-engineer them except as permitted by law. Feedback you give us may be used without obligation.

10. Privacy

How we handle your information is set out in our Privacy & Boundaries page. In short: private by default, minimal data, no selling of personal data, no advertising built on private expression.

11. Availability and changes

We work to keep the Services available but do not promise they will be uninterrupted or error-free. We may add, change or discontinue features, and may change Credit prices and the Free Credits allowance, with notice where practicable. If we permanently discontinue a Service in a way that prevents you from using Purchased Credits, we will tell you and deal with your Purchased Credits fairly and consistently with your legal rights.

12. Suspension and termination

You may stop using the Services or delete your data at any time. We may suspend or terminate your account if you breach these Terms, if required by law, or to protect users or the Services. Termination does not affect payments already due, records we must retain, or rights that by their nature survive.

13. Liability

Our Services come with guarantees that cannot be excluded under the Australian Consumer Law, and nothing in these Terms excludes, restricts or modifies those guarantees or your remedies for a failure to comply with them. To the extent permitted by law, and except for liability that cannot be excluded, we are not liable for indirect or consequential loss, loss of data, or loss of profit arising from your use of the Services, or for content created or shared by users.

14. Governing law and disputes

These Terms are governed by the laws of Victoria, Australia. Before starting any formal claim, please contact us so we can try to resolve the matter. The courts of Victoria have non-exclusive jurisdiction, without limiting any right you have to bring a claim in your local courts under consumer protection law.

15. Changes to these Terms

We may update these Terms. We will post the updated Terms here with a new date and, for material changes, give notice in the Services. Continuing to use the Services after a change means you accept the updated Terms.
